Terms of Service

1. Acceptance of Terms

Welcome to the website of Huff Painting Co. ("Company," "we," "us," or "our"), located at huffpainting.co (the "Site"). By accessing or using this Site, or by engaging our painting services, you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site or engage our services.

These Terms constitute a legally binding agreement between you and Huff Painting Co. We reserve the right to update or modify these Terms at any time, and such changes will be effective upon posting to this page. Your continued use of the Site or services after any modifications constitutes your acceptance of the revised Terms.

2. Description of Services

Huff Painting Co. is a licensed painting contractor (License #451832) operating in the State of California. Our services include, but are not limited to:

  • Interior and exterior residential painting
  • Interior and exterior commercial painting
  • Surface preparation, priming, and finishing
  • Color consultation and recommendations
  • Cabinet refinishing and specialty coatings
  • Minor drywall repair and surface patching as related to painting projects

The specific scope of work for any project will be detailed in a written estimate or proposal provided to the Client prior to commencement of work.

3. Estimates and Pricing

All estimates provided by Huff Painting Co. are non-binding and represent our best assessment of the scope and cost of the proposed work based on the information available at the time of the estimate. Estimates are not guaranteed prices.

Prices may change based on, but not limited to, the following factors:

  • Changes in the scope of work requested by the Client after the initial estimate.
  • Discovery of unforeseen conditions, including but not limited to water damage, mold, lead paint, dry rot, structural deficiencies, or other hidden issues that become apparent after work has commenced.
  • Fluctuations in the cost of materials, supplies, or subcontractor services.
  • Accessibility challenges not apparent during the initial site assessment.
  • Changes to project timelines requested by the Client that require additional labor or scheduling adjustments.

If a material change in pricing is required, we will notify the Client and obtain approval before proceeding with additional work. Written estimates are valid for thirty (30) days from the date of issuance, unless otherwise stated in the estimate.

Estimates provided through the Site or over the phone are preliminary and subject to revision following an in-person site inspection.

4. Scheduling and Cancellation

Project start dates and completion timelines are estimated and may be affected by weather conditions, material availability, subcontractor schedules, permitting requirements, and other factors beyond our reasonable control. We will make every reasonable effort to adhere to agreed-upon schedules and will communicate any significant changes promptly.

Client Cancellation: If you wish to cancel a scheduled project, we request a minimum of forty-eight (48) hours' notice prior to the scheduled start date. Cancellations made with less than 48 hours' notice may be subject to a cancellation fee to cover costs already incurred, including materials purchased, subcontractor commitments, and reserved labor time.

Company Cancellation: We reserve the right to cancel or reschedule work due to unsafe working conditions, inclement weather, material shortages, or other circumstances that may compromise the quality or safety of the work.

Project Delays: If a project is delayed due to circumstances within the Client's control (including but not limited to failure to prepare the work area, restricted access, or changes to the scope), any resulting additional costs or scheduling adjustments will be the responsibility of the Client.

5. Payment Terms

Payment terms will be specified in the written estimate or contract for each project. Unless otherwise agreed upon in writing, the following terms apply:

  • A deposit may be required prior to the commencement of work. The deposit amount will be specified in the project estimate or contract.
  • Progress payments may be required for larger projects, based on milestones outlined in the contract.
  • Final payment is due upon satisfactory completion of the project and a final walk-through with the Client.
  • We accept payment by check, cash, credit card, electronic transfer, or other methods as agreed upon.

Late payments may be subject to a late fee of one and one-half percent (1.5%) per month, or the maximum rate permitted by California law, whichever is less, on any outstanding balance past thirty (30) days due.

In the event of non-payment, Huff Painting Co. reserves the right to suspend or terminate work, file a mechanics' lien on the property in accordance with California law, and pursue all available legal remedies to recover amounts owed, including reasonable attorney's fees and collection costs.

6. Warranty and Guarantees

Huff Painting Co. stands behind the quality of our workmanship. We provide the following warranty terms:

  • Workmanship Warranty: We warrant our labor and workmanship for a period specified in your project contract from the date of project completion. During this period, we will correct any defects in our workmanship at no additional cost to the Client, provided such defects are not caused by factors outside our control.
  • Material Warranty: Paint and material warranties are provided by the respective manufacturers and are separate from our workmanship warranty. We will assist Clients in processing any manufacturer warranty claims where applicable.

This warranty does not cover damage resulting from:

  • Normal wear and tear, aging, or weathering
  • Impact damage, abuse, or neglect
  • Modifications or repairs performed by others after project completion
  • Structural movement, settling, or moisture intrusion not related to our work
  • Acts of nature, including but not limited to earthquakes, floods, fire, or extreme weather events
  • Failure of the underlying substrate or pre-existing conditions disclosed to or discovered by the Client

To make a warranty claim, please contact us using the information in the "Contact Us" section below. We will schedule an inspection and, if the claim is valid under the warranty terms, arrange for corrective work at a mutually agreeable time.

7. Limitation of Liability

To the fullest extent permitted by California law, Huff Painting Co., its owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of this Site, our services, or these Terms, regardless of the cause of action or the theory of liability.

Our total aggregate liability for any and all claims arising out of or related to our services shall not exceed the total amount paid by the Client to Huff Painting Co. for the specific project giving rise to the claim.

This Site and its content are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

8. Property Access and Preparation

The Client agrees to provide reasonable access to the work area for the duration of the project. This includes:

  • Clearing personal belongings, furniture, and obstacles from the work area prior to the scheduled start date, unless otherwise arranged.
  • Ensuring that pets and children are kept away from active work areas for safety purposes.
  • Providing access to electricity and water as needed for the completion of the work.
  • Informing us of any known hazards, including lead paint, asbestos, mold, or structural concerns.

9. Intellectual Property

All content on this Site, including but not limited to text, graphics, photographs, logos, icons, images, design elements, and software, is the property of Huff Painting Co. or its licensors and is protected by United States copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, display, perform, publish, license, create derivative works from, or sell any content from this Site without our prior written consent.

Project photographs taken by Huff Painting Co. during or after the completion of work may be used in our portfolio, marketing materials, website, and social media unless the Client provides written notice opting out of such use prior to or at the time of the project agreement.

10. Indemnification

You agree to indemnify, defend, and hold harmless Huff Painting Co., its owners, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of this Site in violation of these Terms; (b) your provision of inaccurate or incomplete information regarding property conditions; or (c) any violation of applicable laws or third-party rights.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.

12. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the services provided by Huff Painting Co., the parties agree to first attempt to resolve the matter through good-faith negotiation. Either party may initiate this process by providing written notice to the other party describing the nature of the dispute.

If the dispute cannot be resolved through negotiation within thirty (30) days of the initial written notice, the parties agree to submit the dispute to mediation administered by a mutually agreed-upon mediator in Los Angeles County, California. The costs of mediation shall be shared equally between the parties.

If mediation is unsuccessful, either party may pursue resolution through binding arbitration or litigation in accordance with the governing law provisions above. Nothing in this section shall prevent either party from seeking injunctive or equitable relief from a court of competent jurisdiction where such relief is necessary to prevent irreparable harm.

13. Force Majeure

Huff Painting Co. shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, earthquakes, fires, floods, pandemics, epidemics, government orders or restrictions, labor disputes, material shortages, supply chain disruptions, acts of terrorism, or severe weather conditions.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such finding shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable, while preserving the original intent of the parties.

15. Entire Agreement

These Terms, together with any written estimate, proposal, or contract for specific services, constitute the entire agreement between you and Huff Painting Co. regarding the subject matter herein and supersede all prior or contemporaneous oral or written agreements, representations, or understandings. In the event of a conflict between these Terms and a specific project contract, the terms of the project contract shall prevail with respect to that project.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this Site with an updated "Last Updated" date. It is your responsibility to review these Terms periodically. Your continued use of our Site or services after any changes constitutes acceptance of the modified Terms. Material changes may also be communicated through a notice on the Site homepage.
